These Terms of Service (the "Agreement") govern your access to and use of the websites, services, and software (the "Services") provided by VoidZero Inc. ("VoidZero," "we," "us," or "our"). For the avoidance of doubt, any software that we provide exclusively under open source licenses (including, without limitation, Vite, Vitest, Rolldown, Oxc, Vite+) are not covered by this Agreement. By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree to this Agreement, you may not use the Services.
If you are entering into this Agreement on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the term "you" shall refer to such entity. If you do not have such authority, or if you do not agree with this Agreement, you must not accept this Agreement and may not use the Services.
Eligibility
You must be at least 16 years old to use the Services.
By using the Services, you represent and warrant that:
- you meet the minimum age requirement
- you have the authority to enter into this Agreement
- your use of the Services complies with all applicable laws and regulations
The Service is not available to any user previously removed from the Service by VoidZero.
Limited License
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, freely revocable license to use the Service for own use only and as permitted by the features of the Service. Any rights not expressly granted herein are reserved and no license or right to use any trademark of VoidZero or any third-party is granted to you in connection with the Services.
Accounts
To use certain features of the Services, you must create an account.
You may register using:
- email and password
- supported third-party authentication providers
You are responsible for:
- maintaining the confidentiality of your account credentials
- all activity that occurs under your account
You must notify VoidZero immediately if you believe your account has been compromised.
VoidZero is not responsible for any losses resulting from unauthorized access to your account.
User Content
You retain ownership of any code, applications, files, data, text, or other materials that you upload, deploy, or host using the Services ("User Content"). By uploading or deploying User Content using the Services, you grant VoidZero a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, copy, modify, reproduce, distribute, display, publish, store and perform User Content as necessary to provide the Services and for security to protect the Services and third parties from fraud, malware, malicious files or content, viruses and the like
You agree that you will not transmit, submit, upload or store on or through the Services any protected health information as defined in the Health Insurance Portability and Protection Act, as amended ("HIPAA"), unless unless you first obtain VoidZero’s prior written approval.
You further agree that VoidZero may remove or disable any User Content at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third-parties or authorities relating to User Content), or for no reason at all.
Acceptable Use
VoidZero’s Acceptable Use Policy is hereby incorporated by reference
Paid Services
VoidZero may offer both free and paid subscription plans. Free plans may include usage limits or restricted features. Paid plans may be billed:
- monthly
- annually
You may upgrade or downgrade your plan at any time; provided that a downgrade will not be effective until the next renewal date. Unless otherwise stated, all payments are non-refundable. Payments are processed through third-party payment processors. Fees will be billed to the credit card or other payment account you provide in accordance with the billing terms in effect at the time a fee or charge is due and payable. You acknowledge and agree that VoidZero will automatically charge your credit card or other payment account on record with VoidZero in connection with your use of the Services.
VoidZero may modify pricing or plan features at any time. If changes affect your current plan, we will provide reasonable notice.
Intellectual Property
The Services and all related software, technology, and infrastructure are owned by VoidZero and its licensors and are protected by intellectual property laws.
Nothing in this Agreement grants you ownership of the Services. You retain ownership of any User Content you deploy using the Services.
If you publicly deploy applications through the Services, VoidZero may reference or display those deployments for demonstration or marketing purposes unless you request otherwise.
Your Name
During the term of this Agreement, you grant VoidZero a non-exclusive, royalty-free, fully paid-up license to use and reproduce your trademarks, trade names, service marks, and logos in VoidZero marketing materials and on VoidZero websites for the purpose of identifying you as a customer of VoidZero.
VoidZero will comply with any reasonable written trademark usage guidelines that you provide to us. All goodwill arising from the use of your trademarks, trade names, service marks, or logos will inure solely to your benefit.
Previews
VoidZero may elect to provide certain Previews from time to time. Previews are provided "AS-IS", "WITH ALL FAULTS", and "AS AVAILABLE" without warranties of any kind. Previews:
- may change or be discontinued at any time
- may not be fully functional
- may not be supported
Suspension and Termination
You have the right to terminate or downgrade your account at any time by sending a cancellation request.
VoidZero may suspend or terminate your access to the Services if:
- you violate this Agreement
- your use poses a risk to the Services or other users
- we are required to do so by law
VoidZero may suspend access to investigate suspected abuse, fraud, or security issues. After termination, VoidZero may delete hosted data and deployments in accordance with its data retention practices.
Disclaimer of Warranties
The Services are provided "AS-IS", "WITH ALL FAULTS", and "AS AVAILABLE".
VoidZero disclaims all warranties, whether express or implied, including warranties of:
- merchantability
- fitness for a particular purpose
- non-infringement
- uninterrupted or error-free operation
VoidZero does not warrant that the services or deliverables will be uninterrupted or error free; nor does it make any warranty as to the results that may be obtained from use of the services or deliverables.
Limitation of Liability
To the maximum extent permitted by law, VoidZero and its affiliates will not be liable for:
- indirect damages
- incidental damages
- consequential damages
- special or punitive damages
arising out of or related to your use of the Services.
VoidZero’s total liability for all claims related to the Services will not exceed the greater of $100 (ONE HUNDRED UNITED STATES DOLLARS) or the amount you paid to VoidZero for the Services during the 6 months preceding the claim.
Third-Party Services
The Services may integrate with or provide links to third-party services. VoidZero does not control and is not responsible for third-party services. Your use of third-party services is governed by their respective terms and policies
Export Compliance
The VoidZero Services and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions. VoidZero and users each represents that it is not on any U.S. government denied-party list. You will not permit any user to access or use any VoidZero Services in a U.S.-embargoed country or region or in violation of any U.S. export law or regulation.
Indemnification
You agree to indemnify and hold harmless VoidZero and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of:
- your use of the Services
- your User Content
- your violation of this Agreement
- your violation of applicable laws or third-party rights
Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute arising out of or relating to this Agreement or the Services will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.
Changes to this Agreement
VoidZero may update this Agreement from time to time.
If we make material changes, we may notify users by:
- posting an updated version on our website
- providing notice through the Services
Your continued use of the Services after the updated Agreement takes effect constitutes acceptance of the changes. Upon termination for any reason or no reason, you continue to be bound by this Agreement.
